These Terms and Conditions (“Terms”) govern your access and use of the SNGLL platform, services, and features, operated by Sub N Grill, a company of American Sub N Grill LLC, part of Vanguard Global Holdings LLC. By using our services, you agree to these Terms in full.

1. Eligibility

You must be at least 18 years old to use our Services. By using our Services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. Additionally, you must not access or use the Website if the promotion or use of cryptocurrencies is restricted or prohibited in your jurisdiction.

2. Registration and KYC

To participate in the ICO, presale, staking, or redemption of SNGLL tokens, you must complete identity verification (KYC). A KYC fee applies. Without successful KYC, access to token purchases or redemptions is not permitted. We reserve the right to reject or revoke access for incomplete or non-compliant KYC applications.

3. SNGLL Token Utility

  • Used for payments within affiliated platforms
  • Eligibility for staking and staking rewards
  • Transferable between supported wallets
  • Access to exclusive events and promotions for holders
  • Discounts on partner and Sub N Grill services

4. SNGLL Holders Club

Registered token holders gain access to exclusive community features, including private events, early NFT drops, staking bonuses, and rewards. Membership benefits are subject to change without prior notice.

5. NFT Store

The NFT Store allows users to purchase and trade NFTs using SNGLL tokens. NFTs are stored in your connected wallet. All NFT sales are final, and smart contract interactions are non-reversible.

6. Swap and Third-Party Widgets

Token swaps are enabled through third-party widgets and DEX integrations. We are not responsible for any errors, delays, or losses resulting from third-party services. Use of these features is at your own risk.

7. Blockchain Explorers

Transactions can be verified on our official SNGLL Explorer and on the Polygon blockchain explorer. You acknowledge that blockchain transactions are public, immutable, and cannot be modified or reversed.

8. Token Presale Disclaimer

Important Notice:

  • The purchase of SNGLL tokens involves a high degree of risk, and token values may fluctuate significantly.
  • You must conduct your own research before purchasing.
  • No content on this site constitutes investment advice.
  • Purchasing tokens does not grant ownership or equity rights.
  • Tokens may not be immediately delivered; final distribution occurs after presale concludes.

9. Payments and Transactions

  • Payments must follow instructions provided on the official site.
  • Transactions are handled via smart contracts by web3paymentsolutions.com.
  • We do not store payment data and are not responsible for failed or delayed blockchain transactions.

10. Staking and Claims

The SNGLL platform offers multiple staking options with varying lock-up periods, reward rates, and terms. By participating in any staking plan, you agree to the following conditions:

  • Staking Plans: Each staking plan has its own specifications regarding minimum token amounts, duration (e.g., 7 days, 30 days, 90 days, 180+ days), and APY (Annual Percentage Yield). It is your responsibility to review the details of each plan before committing your tokens.
  • Lock-up Period: Once tokens are staked, they will be locked and cannot be withdrawn, transferred, or used until the full lock-up period defined by the plan has ended. Early withdrawal is not permitted under any circumstances.
  • Claims: After the staking period ends and the claim process is made available, staked tokens and any applicable rewards will become available for withdrawal. Claims must be manually executed by the user through the platform interface.
  • Multiple Stakings: Users may participate in multiple staking plans simultaneously. Each staking entry is tracked independently and is subject to its own duration and claim schedule.
  • Changes and Availability: Staking options, durations, and reward rates may change without prior notice based on ecosystem strategies or blockchain conditions. Availability of certain plans may be limited or time-sensitive.
  • Gas Fees: All claim and staking actions are subject to applicable gas/network fees based on the blockchain network used.

It is your responsibility to understand the terms of the staking plan you select. We are not responsible for incorrect selections, failed claims due to inaction, or loss of opportunity due to user inaction or network conditions.

11. Intellectual Property

All content, code, design, branding, and materials on the platform are protected by international intellectual property laws. You may not copy, reproduce, modify, or distribute any materials without prior written permission.

12. User Rights (Data Protection)

You may exercise rights regarding your personal data, including:

  • Access, correction, and deletion of personal data
  • Restriction or objection to data processing
  • Data portability and consent withdrawal

Requests may require identity verification. We aim to respond within one month unless your request is complex or repetitive.

13. Third-Party Links

Our platform may link to third-party services. We are not responsible for their content, privacy practices, or availability. You access third-party services at your own risk.

14. Termination

We reserve the right to suspend or terminate your access for violations of these Terms or applicable laws. Upon termination, all rights granted to you will cease. Certain provisions (ownership, liability, indemnity) will survive termination.

You agree to indemnify and hold harmless Subngrilltoken.com, its affiliates, and employees from claims, damages, or liabilities arising from:

  • Your use of the platform or services
  • Your breach of these Terms

16. Limitation of Liability

To the fullest extent allowed by law, we shall not be liable for any indirect, incidental, or consequential damages, including loss of data, profits, or use, due to:

  • Your use or inability to use our services
  • Unauthorized access or data breaches
  • Viruses or malicious code transmitted by third parties
  • Errors, delays, or inaccuracies in content or functionality

17. Governing Law

These Terms are governed by the laws of the United States and the State of Florida, without regard to conflict of law principles.

18. Changes to Terms

We reserve the right to update these Terms at any time. Material changes will be notified at least 30 days in advance. Continued use of the platform after updates constitutes your agreement to the revised Terms.
